5. Your Data and Data Protection

  • 5.2 Roles under the DPDP Act: For personal data of your clients, employees and other individuals that you enter into Pomodore, you act as the Data Fiduciary and Pomodore acts as your Data Processor under the Digital Personal Data Protection Act, 2023 ("DPDP Act"). You decide the purpose and means of that processing; we process it only on your documented instructions and under these Terms, which form the contract required for engaging a Data Processor.
  • 5.3 Your obligations as Data Fiduciary: You are responsible for giving the required notice to, and obtaining valid consent from (or relying on another lawful ground for processing for), the individuals whose personal data you upload, for the accuracy of that data, and for responding to requests from those individuals. You must not upload personal data that you have no right to process.
  • 5.4 Our obligations as Data Processor: We will implement reasonable security safeguards, process Customer Data only for providing the service, not use it for our own marketing, assist you in responding to requests from data principals where reasonably possible, and notify you without undue delay of any personal data breach affecting your Customer Data.
  • 5.5 No financial instrument storage: Pomodore does not store your credit or debit card, UPI PIN or bank account credentials. All payment transactions are handled by third-party payment processors that are subject to their own security and regulatory requirements.

11. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. The parties will first try to resolve any dispute amicably through good-faith discussion. Failing that, any dispute shall be subject to the exclusive jurisdiction of the courts at Ernakulam, Kerala, without prejudice to any right you may have under the Consumer Protection Act, 2019 to approach a consumer commission, or to any remedy available under the DPDP Act before the Data Protection Board of India.

12. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of the business. These Terms, together with the Privacy Policy, Refund Policy and Shipping Policy, are the entire agreement between you and Pomodore.
